Terms of Service
1. About These Terms
These Terms of Service ("Terms") govern your membership in Agency, a private membership network operated by JoinAgency.co ("Agency," "we," "us," or "our"). By applying for, accepting, or maintaining membership, you agree to be bound by these Terms.

2. Membership
Who Agency is for.
Agency is a vetted network for agency owners. Membership is by application only. Acceptance is at our sole discretion, and applying does not guarantee admission.
Your account.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Membership is personal and non-transferable — you may not share access with employees, partners, or third parties.
Accuracy of information.
You agree to provide accurate, current, and complete information during the application process and to keep that information up to date throughout your membership.
3. Fees, Payment and RefundsMembership fees.
Membership requires payment of the applicable fee as described at the time of your application or renewal. Fees are stated in USD unless otherwise noted.
Billing.
By providing payment information, you authorize us to charge the applicable membership fee on the billing cycle communicated to you at sign-up (monthly or annual, as selected). You are responsible for keeping your payment information current.
No refunds.
All membership fees are non-refundable, except where required by applicable law. If you cancel your membership, you retain access through the end of your current paid period, after which access will not be renewed.
Price changes.
We reserve the right to change membership fees. We will provide at least 30 days' notice of any price increase before it takes effect for your renewal cycle.Deposits. If a deposit was collected as part of your application process, that deposit is credited toward your membership fee and is non-refundable if you decline to proceed after acceptance.
4. Member Conduct
Agency is built on trust, candor, and professional respect.
By joining, you agree to:
Engage authentically and in good faith with fellow membersKeep all member-shared information, business details, and conversations confidential, in accordance with the Non-Disclosure Agreement you signed upon joining.
Treat all members with professionalism, regardless of business size, background, or perspectiveNot use the community to solicit, recruit, or aggressively market your services to other members without explicit permission from Agency.
Not share, post, or distribute content that is unlawful, harassing, defamatory, discriminatory, or otherwise harmfulNot misrepresent your identity, business, or credentials in any community interaction
Comply with Agency's Community Guidelines, which are published separately and incorporated into these Terms by referenceWe reserve the right to determine, in our reasonable judgment, what constitutes a violation of these standards.
5. Confidentiality
Confidentiality obligations are governed by the separate Non-Disclosure Agreement ("NDA") that each member is required to sign as a condition of joining Agency. That NDA is incorporated into these Terms by reference. In the event of any conflict between the NDA and these Terms on matters of confidentiality, the NDA controls.
At a minimum, members agree not to share, reproduce, or use information disclosed by other members outside of Agency without the explicit consent of the disclosing member. This obligation survives the termination of membership.
6. Forum GroupsWhat Forum Groups are.
As part of your Agency membership, you may be placed in a small peer group ("Forum Group") based on a matching process conducted by Agency. Forum Group participation is a curated element of membership and is subject to the additional terms in this section.
Placement in a Forum Group is part of every Agency membership.
We take care to match members thoughtfully, which means timing varies depending on availability, compatibility, and cohort composition. While you wait for your match, your deposit gives you full access to the broader community. Final payment is collected once placement is confirmed.
Forum Group conduct.
Forum Groups operate under an elevated standard of confidentiality. All discussions within a Forum Group are strictly confidential and subject to the NDA. Members must participate in good faith, attend sessions with reasonable consistency, and treat other group members with respect and discretion.
Removal from a Forum Group.
Agency reserves the right to remove a member from their Forum Group at any time, for any reason, including but not limited to:Violation of these Terms, the NDA, or the Community GuidelinesConduct that disrupts group trust, cohesion, or psychological safetyConsistent non-participation or disengagementMisrepresentation of business information shared within the group
Effect of Forum Group removal.
Removal from a Forum Group does not constitute termination of broader Agency membership. A removed member retains access to the general Agency community, platform, and programming. No refund or fee adjustment will be issued as a result of Forum Group removal. Placement in a new Forum Group following removal is at Agency's discretion and is not guaranteed.
7. Intellectual Property
Content you share in Agency (posts, documents, resources) remains yours. By sharing it, you grant Agency a limited, non-exclusive license to display and distribute that content to other members within the platform for the purpose of operating the community. We will not use your content for marketing or external purposes without your permission.Agency's brand, platform design, proprietary content, and programming are owned by Agency and may not be reproduced or used without our written consent.8.
Termination and RemovalVoluntary cancellation.
You may cancel your membership at any time by contacting us at team@joinagency.co. Cancellation takes effect at the end of your current billing period. No refunds of any kind are issued.
Removal by Agency.
We reserve the right to suspend or permanently remove any member at our discretion, including for:Violation of these Terms, the NDA, or Community GuidelinesConduct we determine to be harmful to the community or its membersMisrepresentation during the application processNon-payment of feesIn cases of serious violations, removal may be immediate and without prior notice. In other cases, we will attempt to notify you and provide an opportunity to address the issue before a final decision is made.
Effect of termination.
Upon termination of membership, your access to Agency platforms, forums, and member directories will be revoked. Your confidentiality obligations under the NDA survive termination indefinitely, as set out in that agreement.
9. Limitation of Liability and Disclaimers
No professional advice.
Content and conversations in Agency are peer-to-peer in nature. Nothing shared by Agency, its team, or its members constitutes legal, financial, tax, or other professional advice. Rely on qualified professionals for decisions in those areas.
As-is service.
Agency is provided "as is." We make no warranties, express or implied, that the platform will be uninterrupted, error-free, or meet your specific expectations.Liability cap. To the fullest extent permitted by law, Agency's total liability to you for any claim arising out of or related to your membership shall not exceed the total fees you paid to Agency in the 12 months preceding the claim.
No consequential damages.
Agency will not be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost business opportunities, even if we have been advised of the possibility of such damages.
10. Governing Law and Disputes
These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes arising under these Terms will first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, disputes may be submitted to binding arbitration in Victoria, British Columbia.
11. Changes to These Terms
We may update these Terms from time to time. Continued membership constitutes acceptance of the updated Terms.
